Terms of Service

These Terms of Service govern access to and use of the Helply AI chatbot service operated by Helply, the seller of the service. By creating an account, starting a trial or using Helply, you agree to these Terms.

The Helply service

Helply provides AI chatbot software for businesses to answer customer support questions, qualify leads, book appointments, connect business data and integrate with websites and customer messaging channels.

Accounts and authority

You must be at least 18 years old and have authority to bind any business you represent. You are responsible for your account credentials, the accuracy of information you provide and all activity under your account.

Subscriptions, Paddle and billing

Paid Helply plans are sold as subscriptions. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all Helply orders. Paddle processes payments, invoices, applicable taxes, subscription administration, customer service inquiries and returns. Paddle's checkout terms apply to the payment process, and Helply's Refund Policy explains refund eligibility.

Acceptable use

You must not misuse Helply or allow others to misuse it. You agree not to:

  • Use Helply for unlawful, deceptive, harmful, abusive or discriminatory purposes.
  • Send spam, phishing, malware, fraudulent offers or content that infringes third-party rights.
  • Upload content you do not have the right to use.
  • Attempt to bypass usage limits, security controls or payment requirements.
  • Scrape, reverse engineer, disrupt, overload or probe Helply's systems.
  • Use AI outputs as regulated legal, medical, financial or professional advice without qualified human review.

Customer content and AI outputs

You retain ownership of the business data, documents, prompts and customer conversations you provide. You grant Helply the rights needed to host, process and display that content to operate the service. AI responses may be inaccurate or incomplete, so you are responsible for reviewing configuration, training content and outputs for your business use case.

Intellectual property

Helply owns the service, software, workflows, designs, models, documentation, trademarks and related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use Helply during your active trial or subscription.

Suspension and termination

We may suspend or terminate access if you breach these Terms, fail to pay, create security or fraud risk, violate acceptable use rules or use the service in a way that may harm Helply, customers or third parties. You may stop using Helply or cancel your subscription at any time; cancellation stops future renewals but does not automatically create a refund unless our Refund Policy applies.

Service availability

We aim to provide a reliable service, but Helply is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, and features may change as we improve the product.

Liability

To the fullest extent permitted by law, Helply is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business opportunities. Our total liability is limited to the amount paid for Helply in the 12 months before the claim. Nothing excludes liability that cannot legally be excluded.

Governing law

These Terms are governed by the laws of England and Wales, unless mandatory consumer protection laws in your location require otherwise.
